PRIVATE COMPANY:

May not offer shares to the public and restrictions are also place on the transferability of their shares and must have at least one director and one incorporator (may be the same person).

NON PROFIT COMPANY:

Does not have shareholders and must at least have three directors.

CHANGE OF REGISTERED ADDRESS:

A company must continuously maintain at least one office in South Africa and the company's registered address must be the address of its office.

CIPC ANNUAL RETURN SUBMISSIONS:

This is a statutory obligation. 

All companies and closed corporations, whether trading or not are required to file annual returns with CIPC within the registration month of a company early.  This determines if the entity is conducting business activities. 

Failure shall result in deregistration.
